Userlot Terms of Use

By accessing or using the Service, you agree to be bound by the terms of this Agreement. If you do not agree to be bound by this Agreement, you must not use the Service.

1 Terms and General

Subject to the terms of this Agreement, Userlot hereby grants you a non-exclusive, non-transferable, limited license to access and use the Service for your own internal business purposes during the term of this Agreement. Userlot owns all right, title and interest in and to the Service, including all intellectual property rights. Nothing in this Agreement shall be construed as granting you any right, title or interest in or to the Service, except for the limited license expressly granted in this Agreement.

2 Access to Userlot

To use the Service, you must register for an account on the Site by providing accurate and complete information about yourself. You are responsible for maintaining the confidentiality of your username and password and for all activities that occur under your account.

Userlot Access: Userlot may access your account, including its content, to provide technical support, maintenance and other services.

The Service may integrate with third-party services, such as payment processors or communication tools. Userlot is not responsible for the availability or performance of any third-party services.

3 Duration of Agreement

The Service is provided for the subscription period designated in the Order Form (“Subscription Period“). These Terms shall become effective on the effective date of the applicable Order Form, and shall continue until expiration of the Subscription Period (the “Initial Term“), unless terminated earlier as provided in these Terms. These Terms shall automatically renew for successive Subscription Periods (each a “Renewal Term”) unless either party provides the other with at least thirty (30) days written notice prior to the end of the then-current Subscription Period of its intent not to renew. The Initial Term, together with any Renewal Terms, will be referred to collectively as the “Term“.

4 Privacy and Data Use

We respect your privacy and are committed to protecting your personal data. Our Privacy Policy describes how we collect, use, and disclose your information when you use the Service. By using the Service, you consent to our collection, use, and disclosure of your personal data as described in the Privacy Policy.

5 Maintenance, Downtime and Data Loss

Maintenance: Userlot may need to perform maintenance or updates to the Service from time to time, which may cause downtime or affect performance. Userlot will use commercially reasonable efforts to minimize the impact of such events. Userlot is not liable for any downtime or unavailability of the Service due to factors beyond our control, such as internet outages or third-party service failures. Userlot will use commercially reasonable efforts to prevent data loss, but we are not responsible for any loss of data or corruption of your data.

6 User Conduct

You must comply with all applicable laws and regulations when using the Service. You may not use the Service to engage in any illegal, harmful, or offensive activities, such as spamming, hacking, or distributing malware.

You are solely responsible for the content you upload or transmit through the Service, and you must ensure that such content complies with all applicable laws and regulations.

7 Pricing

The pricing of Userlot services shall be in accordance with the pricing model as set forth on the Userlot website or detailed in the Services Agreement. Userlot reserves the right to change the pricing model at any time. Any changes to the pricing model will be effective immediately upon posting on the Userlot website.

The Charges are exclusive of taxes, duties and charges imposed or levied in connection with Your access to Our Services. Without limiting the foregoing, You shall be liable for any new taxes, duties or Charges during the term in respect of the Access to Our Services.

8 Termination

Userlot may terminate this Agreement and/or User’s access to Userlot services at any time, for any reason, with or without cause. User agrees that Userlot shall not be liable to User or any third party for any termination of User’s access to Userlot services.

9 Indemnity

User agrees to indemnify and hold Userlot, its affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to or arising out of User’s use of Userlot services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of User’s representations and warranties set forth in this Agreement.

10 Liability

Userlot shall not be liable to User or any third party for any direct, indirect, incidental, special, consequential, or exemplary damages, including, without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses (even if Userlot has been advised of the possibility of such damages), arising out of or in connection with Userlot services or this Agreement.

11 Changes to the Terms and Conditions

Userlot reserves the right to change the terms and conditions of this Agreement at any time, without prior notice. Any changes to this Agreement will be effective immediately upon posting on the Userlot website. User’s continued use of Userlot services following any such modification constitutes User’s acceptance of the modified Agreement. It is User’s responsibility to review this Agreement on a regular basis to ensure that User is aware of any modifications.
